This Web Site User Agreement (the "Agreement") must be read by each person intending to use any information posted by the National Settlement Depository (the "Central Securities Depository") on its official website at www.nsddata.ru (the "Web Site"), in the "CIC News" section ("Information").
Any person interested in obtaining Information shall be a Web Site user (the "User").
By visiting the "CIC News" section of the Web Site, the User acknowledges that he/she has read and fully accepts this Agreement.
By entering into this Agreement, the User gives his/her consent to the processing of his/her personal data, other than dissemination of such data to any third party. The Central Securities Depository undertakes to take every necessary step required to protect the User’s personal data against unauthorized access, alteration, disclosure, or destruction.
In the "CIC News" section of the Web Site, the Central Securities Depository posts information (available for copying and communication) regarding the exercise of rights attached to securities, which information is received from the issuers of such securities or parties liable on securities. The aforementioned section of the Web Site also contains information obtained from open sources, including information made available by issuers of securities. Information will be posted in a news feed updated online on Central Securities Depository's business days, from 9:00 am to 6:00 pm.
The Central Securities Depository's web sites at www.nsd.ru and www.nsddata.ru shall be available to the User without any time restrictions. Where the User cannot get access to the Web Site, the User shall give notice to the Central Securities Depository by sending a message in any form at soed@nsd.ru.
The User may not use any Information received by the User to create any information products to be distributed at a charge, or to disseminate data contained in information messages at a charge.
Where the User wishes to be provided an additional newsletter service, the User shall subscribe to the newsletter on the home page of the Web Site.
The Central Securities Depository shall be liable in accordance with the Russian laws for misrepresentation of any information received from an issuer or from a party liable on securities.
The User shall be fully liable for failure to comply with the terms and conditions of this Agreement or with any binding rules or instructions posted on the Web Site.
The User shall be liable to third parties for his/her actions connected with the use of Information obtained from the Web Site, including if such actions have resulted in an infringement of third parties' rights or legitimate interests. The User shall be responsible for complying with the laws when using the Web Site.
The Central Securities Depository shall not be held liable for any outcome of the use of Information and/or usefulness of Information, or for any direct or indirect damage caused to the User during the period of his/her access to Information, including damage resulting from any errors, omissions, operation interruptions, file deletions, changes in functions, defects, delays in data transmission, or similar events that may occur through no fault of the Central Securities Depository, as well as for loss of profits by the User, or Internet access quality when using the Web Site.
The Central Securities Depository does not provide any warranties or representations as to fitness of Information for any particular purpose of the User.
The Central Securities Depository may audit the use and dissemination by any person of any Information posted in the "CIC News" section of the Web Site. Where the Central Securities Depository identifies any unauthorized use or dissemination of Information by the User, the Central Securities Depository may seek judicial protection of its rights, including by taking legal action to claim damages and to protect the Central Securities Depository's business reputation.
In the event of any dispute between the parties to this Agreement, the parties shall seek to resolve such disputes in negotiations. Where the parties fail to resolve the dispute in negotiations, the dispute shall be referred to a court.
Any and all rights in and to the Web Site and Information posted on the Web Site shall belong to the Central Securities Depository.
The Central Securities Depository may, at its own discretion, change the structure of web pages and the contents and scope of any Information posted.
However, the Central Securities Depository undertakes to communicate, in due time, any changes in the Information posting and/or access procedure to the User by posting the relevant notification on the Web Site.
The User shall not make anything that may result in a Web Site malfunction, including anything connected with an increased load on the Web Site.
Any matters omitted in this Agreement shall be dealt with and resolved in accordance with the laws of the Russian Federation.
